Shareholder Governance records meetings and formal shareholder activity.
Use governance pages when recording shareholder meetings, attendance, resolutions, voting, proxy representation, and follow-up actions.
Workspace Reference
Open Shares -> Governance -> Meetings. Use Record Meeting to create a new shareholder governance record, or open an existing meeting to review details, attendance, resolutions, voting, proxy representation, and follow-up actions.

Shareholder Meetings
Meetings provide the official record for shareholder governance events. A meeting record should capture the purpose, date, venue or channel, participants, quorum status, resolutions, voting outcomes, supporting documents, and follow-up actions.
Common governance activity includes:
- meeting notices;
- attendance and apologies;
- quorum review;
- agenda items;
- resolutions;
- voting or decision outcomes;
- proxy representation where applicable;
- minutes or supporting documents;
- follow-up owners and deadlines.
Resolutions
Resolutions record decisions that require formal approval or shareholder acknowledgement.
Important details include:
- resolution title and category;
- meeting or governance event;
- proposed decision text;
- effective date;
- required approval threshold;
- voting method;
- supporting notes or attachments;
- final outcome.
Resolution outcomes should clearly identify whether the resolution passed, failed, was deferred, was withdrawn, or requires follow-up.
Voting
Voting records the shareholder decision evidence for a resolution or governance matter.
Before closing a vote:
- confirm eligible voters based on the product and governance rules;
- confirm the voting basis, such as one-member-one-vote or unit-weighted voting;
- confirm abstentions, rejected votes, and invalid votes;
- confirm the approval threshold;
- review whether the result changes shareholder rights, product rules, dividends, capital calls, or other sensitive actions.
Proxy Votes
Proxy votes represent a shareholder decision made through an authorized representative. Proxy details should be captured with enough evidence to support the decision record.
A proxy record should normally show the shareholder, representative, authorization period, scope of authority, related meeting or resolution, evidence, and status.
Do not count proxy votes where authorization is missing, expired, revoked, or outside the permitted scope.
Good Practice
Governance records should be complete before being treated as final. They may affect dividend declarations, capital decisions, product changes, policy changes, director or committee decisions, shareholder rights, or audit evidence.
If a governance decision triggers operational work, record the follow-up action in the relevant module rather than relying only on meeting notes.
