Shares Overview

The Shares module manages member or shareholder equity from product setup through ownership records, certificates, pledges, capital calls, withdrawals, dividends, and governance.

Use Shares when the organization issues, tracks, restricts, distributes, or governs share capital. It is the ownership record for the shareholder position. Funding, payouts, loans, customer records, and accounting are coordinated with their own modules, but the Shares module determines the share rules and ownership impact.

What The Shares Area Covers

Setup defines share products and the rules that control account behavior, transfers, pledges, withdrawals, dividends, voting rights, and accounting readiness.

Registry manages share accounts, certificate records, beneficiaries, ownership balances, restrictions, and account lifecycle.

Capital manages share purchases, allotments, transfers, redemptions, pledges, capital calls, and withdrawal requests.

Distributions manages dividend projections, declarations, allocation review, approval, settlement, reinvestment, and payout follow-up.

Governance manages meetings, resolutions, attendance, voting, proxy representation, and shareholder decision records.

TIP

The share account is the ownership source of truth. Certificates, withdrawal requests, dividend allocations, and governance votes should be checked against the share account, approved transactions, restrictions, and product rules.

Standard Lifecycle

A typical share lifecycle is:

  1. Configure the share product and confirm its flags, pricing, tax, approval, and accounting behavior.
  2. Create a share account for the party or member.
  3. Submit and approve the account where required.
  4. Record share transactions such as purchases, allotments, transfers, redemptions, adjustments, or capital-call payments.
  5. Issue certificates where product rules or policy require formal ownership evidence.
  6. Add beneficiaries or restrictions where applicable.
  7. Manage pledges when shares are used as security for another obligation.
  8. Process withdrawals, redemptions, or exits only when product rules and available balances allow it.
  9. Declare and allocate dividends for eligible accounts.
  10. Record shareholder meetings, resolutions, votes, and proxy activity.

Important Balances

Share accounts may show several balances. Users should understand the difference before approving transactions:

  • Total units: all units recorded on the account.
  • Paid-up units: units that have been fully paid or recognized under the product rules.
  • Available units: units that can still be transferred, pledged, withdrawn, or used for eligible actions.
  • Pledged units: units locked because they secure an obligation.
  • Locked or restricted units: units blocked by product rules, approvals, holds, exits, or governance restrictions.
  • Dividend-eligible units: units considered for distributions based on product rules and the selected dividend method.

Key Controls

Share operations affect ownership, member entitlements, financial reporting, dividends, voting rights, and lending eligibility. Users should confirm the product rules, approval status, restrictions, and accounting readiness before processing high-impact actions.

Do not rely only on a certificate number or a payout request to decide ownership. The share account, approved transactions, restrictions, and product rules together determine what the shareholder can do.
